1. Agreement to Terms

By accessing or using SMSB Recruits ("Service," "platform," "we," "our," or "us"), operated by Sound Mind Sound Body, LLC, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (the individual user and/or the organization you represent) and Sound Mind Sound Body, LLC.

2. Description of Service

SMSB Recruits is a comprehensive recruiting platform for college football coaches and recruiting professionals that provides:

Access to camp-verified athletic performance data from Sound Mind Sound Body camps and showcase events
High school and college prospect databases with verified measurements
Recruiting board creation and organization tools
Transfer portal tracking and monitoring
College offer tracking and management
Team collaboration features for coaching staffs
Mobile and web access to recruiting data

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use SMSB Recruits, you must:

Be at least 18 years old
Represent a legitimate college, university, or recruiting organization authorized to engage in college football recruiting
Have the authority to bind your organization to these Terms
Comply with all applicable NCAA, conference, and institutional recruiting rules

By creating an account, you represent and warrant that you meet these eligibility requirements.

3.2 Account Creation

Account creation requires booking a demo with our team. You cannot self-register. We will verify your organization affiliation before granting access.

3.3 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access at support@smsbrecruits.com
Ensuring your account information is accurate and current
Not sharing your account credentials with unauthorized individuals

4. User Responsibilities and Acceptable Use

4.1 Acceptable Use

You agree to use the Service only for lawful purposes. You agree NOT to:

Violate any applicable federal, state, or local laws or regulations
Violate NCAA recruiting rules, conference rules, or institutional policies
Infringe on intellectual property rights of others
Upload malicious code, viruses, or harmful software
Attempt to gain unauthorized access to our systems or other users' accounts
Share your account credentials with unauthorized users
Use the Service to harass, abuse, threaten, or harm others
Scrape, copy, or download prospect data using automated means without permission
Reverse engineer or attempt to extract our source code
Remove or obscure any proprietary notices
Use the Service in any way that could damage, disable, or impair our systems

4.2 Data Accuracy and Responsibility

You are responsible for:

The accuracy and legality of all data you enter into the Service (prospect information, recruiting notes, offer tracking, etc.)
Obtaining appropriate permissions before entering athlete information into the platform
Complying with FERPA and other privacy laws applicable to student information
Using prospect information only for legitimate recruiting purposes in compliance with applicable rules
Not sharing confidential or sensitive information without proper authorization

4.3 NCAA and Recruiting Compliance

CRITICAL: You are solely responsible for ensuring your use of SMSB Recruits complies with all applicable recruiting rules and regulations, including:

NCAA Division I, II, and III recruiting rules
Conference-specific recruiting regulations
Institutional compliance policies
Dead period, quiet period, and contact period restrictions
Evaluation period limitations
Communication restrictions with prospects

WE DO NOT PROVIDE LEGAL OR COMPLIANCE ADVICE. WE DO NOT GUARANTEE NCAA COMPLIANCE. Consult with your institution's compliance office before using prospect information for recruiting purposes.

5. Subscription and Payment Terms

5.1 Subscription Plans

Access to SMSB Recruits requires a paid subscription. Subscription terms, features, and pricing are provided during the demo and account setup process.

5.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually)
You authorize us to charge your payment method automatically for each billing period
Payment is processed securely through our third-party payment processor (Stripe)
Prices may change with 30 days' advance notice
You are responsible for all applicable taxes
Failed payments may result in service suspension or termination

5.3 Cancellation and Refunds

To cancel your subscription, contact our support team at support@smsbrecruits.com
Cancellations take effect at the end of the current billing period
You will retain access until the end of your paid period
No refunds for partial months or unused services
No refunds for cancellations (except as required by law)
We may offer promotional refunds at our sole discretion

5.4 Free Trials

If we offer a free trial, you must provide payment information. You will be charged automatically when the trial ends unless you cancel before the trial period expires.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all content, features, functionality, software, user interface, design, logos, and trademarks, is owned by Sound Mind Sound Body, LLC and protected by United States and international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not:

Copy, modify, or create derivative works of the Service
Sell, rent, lease, or sublicense access to the Service
Remove or alter any proprietary notices
Use our trademarks or branding without written permission

6.2 Your Content and Data

You retain all ownership rights to the prospect data, recruiting notes, and other content you upload to the Service ("Your Content").

By using the Service, you grant us a limited, worldwide, royalty-free license to use, store, display, and transmit Your Content solely to provide the Service to you and your organization.

6.3 Camp-Verified Data

Athletic performance data verified at Sound Mind Sound Body camps ("Camp Data") is owned by Sound Mind Sound Body, LLC. You are granted access to view and use Camp Data through the Service for recruiting purposes. You may not:

Extract or download Camp Data for use outside the platform
Share Camp Data with non-subscribers
Claim ownership of Camp Data
Sell or redistribute Camp Data

6.4 Feedback and Suggestions

If you provide us with feedback, suggestions, or ideas about the Service, we may use them without any obligation or compensation to you.

7. Privacy and Data Protection

Your use of the Service is governed by our Privacy Policy, available at smsbrecruits.com/privacy. Please review our Privacy Policy to understand our data collection and usage practices.

8. Third-Party Services and Integrations

The Service may integrate with or link to third-party services (payment processors, analytics providers, etc.). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services, and we do not endorse or guarantee their performance.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee:

Uninterrupted or error-free service
That defects will be corrected
That the Service is free from viruses or harmful components
That the Service will meet your specific requirements

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

9.2 No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

Warranties of merchantability and fitness for a particular purpose
Warranties regarding data accuracy, reliability, or completeness
Warranties that the Service will be secure or error-free

9.3 Data Accuracy Disclaimer

While we strive to provide accurate camp-verified data, we make no warranties about the accuracy, reliability, timeliness, or completeness of prospect data, performance metrics, or other information in the Service. You are responsible for verifying all information before using it for recruiting decisions.

9.4 NCAA Compliance Disclaimer

WE DO NOT GUARANTEE THAT USE OF THE SERVICE WILL COMPLY WITH NCAA OR OTHER RECRUITING RULES. You are solely responsible for ensuring compliance with all applicable regulations. We are not liable for any violations or penalties resulting from your use of the Service.

9.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUND MIND SOUND BODY, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
Any loss of profits, revenue, data, goodwill, or business opportunities
Any damages resulting from recruiting violations or NCAA penalties
Any damages caused by third parties or third-party services
Any damages resulting from unauthorized access to your account
Any damages resulting from service interruptions or data loss

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sound Mind Sound Body, LLC, its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

Your use of the Service or violation of these Terms
Your violation of any rights of another party (including athlete privacy rights)
Your violation of NCAA recruiting rules, conference rules, or institutional policies
Your Content or any data you submit to the Service
Your negligence or willful misconduct

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting support@smsbrecruits.com. Your subscription will remain active until the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if you:

Violate these Terms or our Acceptable Use Policy
Fail to pay subscription fees when due
Engage in fraudulent, illegal, or unethical activity
Pose a security risk to the Service or other users
Use the Service in a manner that could damage our reputation

11.3 Effect of Termination

Upon termination:

Your right to access and use the Service ceases immediately
You will no longer be charged for subscription fees
We may delete Your Content after a reasonable grace period (we recommend exporting your data before termination)
Sections that should survive termination will remain in effect (see Section 12)

12. Survival

The following provisions survive termination of these Terms: Intellectual Property Rights (Section 6), Disclaimers (Section 9), Limitation of Liability (Section 9.5), Indemnification (Section 10), Dispute Resolution (Section 13), and General Provisions (Section 15).

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law principles.

13.2 Informal Resolution

Before filing any legal action, you agree to first contact us at legal@smsbrecruits.com to attempt to resolve the dispute informally.

13.3 Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Arbitration terms:

Arbitration will be conducted in Michigan, United States
The arbitrator's decision is final and binding
Each party bears its own costs and attorneys' fees
You may opt out of arbitration within 30 days of first accepting these Terms by contacting legal@smsbrecruits.com

13.4 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND US INDIVIDUALLY. To the fullest extent permitted by law:

Class actions, class arbitrations, and representative actions are not permitted
You may not join or consolidate claims with other users
You may only bring claims in your individual capacity

13.5 Exceptions to Arbitration

Either party may bring claims in small claims court if they qualify. Additionally, either party may seek equitable relief in court for intellectual property infringement.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

Posting the updated Terms on this page with a new "Last updated" date
Sending an email notification to your registered email address
Displaying an in-app notification when you next log in

Changes become effective 30 days after notification (or immediately for legal or security reasons). Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sound Mind Sound Body, LLC regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver shall be effective unless in writing.

15.4 Assignment

You may not assign or transfer these Terms, your account, or any rights under these Terms without our prior written consent. We may assign these Terms without restriction, including to any affiliate or successor entity.

15.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

15.6 Relationship

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Sound Mind Sound Body, LLC.

15.7 Export Controls

The Service may be subject to U.S. export control laws. You agree to comply with all applicable export and import laws and regulations.
